Luis Rafael Pellerano joined Pellerano & Herrera in 1979 and became a partner in 1986. With 35 years of experience, he concentrates his practice in banking and finance, project finance, mergers, acquisitions and joint ventures.
As partner in charge of the firm’s international and foreign investment practice, he has vast experience counseling foreign companies and multinationals entering the Dominican market and companies in highly regulated industries such as energy, mining, pharmaceuticals and financial service providers. Luis Rafael’s practice also includes advising clients about financial structuring, corporate and securities law, with a particular focus on the development and financing of international projects, mergers and acquisitions, strategic alliances and corporate finance. He has participated in most of the country’s high profile financing projects, in the counseling and rendering of legal services to local and foreign banks in the financing, debt restructuring, negotiation and securitization of guarantees.
His representative transactions include advising:
- The Trump Organization in connection with a luxury real estate project valued at over US$2.5 billion to be developed in the eastern region of the country.
- Brewing company AmBev Dominicana in the acquisition of a controlling stake in Cerveceria Nacional Dominicana, the largest and most complex acquisition in the history of the Dominican Republic, for more than US$2 billion.
- Leading mining corporations in the establishment of their operations in the Dominican Republic, such as Barrick Gold Corporation, Xstrata and Perilya Ltd., including the financing of the Pueblo Viejo gold mine in Cotuí, which, at US$2.7 billion, was the largest registered foreign investment in the history of the Dominican Republic.
- The buyers in connection with the acquisition of Aeropuertos Dominicanos Siglo XXI (Aerodom), the licensee of five international airports in the Dominican Republic, in two transactions that were internationally recognized by Latin Lawyer and the International Financial Law Review for their significance.
Luis Rafael has been recognized by Chambers and Partners, the leading international legal compendium, as among the best lawyers in the Dominican Republic in corporate, real estate and tourism since 2009. He has been recognized as a leading lawyer by prestigious directories such as International Financial Law Review (IFLR 1000), Latin American Corporate Counsel Association (LACCA), Legal 500, and Who's Who Legal. In addition, he was awarded the Star Partner Recognition Award for Supportive Partner by the Commercial Office of the United States Embassy in the Dominican Republic for his assistance in embassy activities aimed at strengthening trade between the two nations.
Luis Rafael received his Bachelor of Laws from the Universidad Nacional Pedro Henríquez Ureña in 1984. In 1985, he studied at the University of Michigan, in Ann Arbor, Michigan. He is a member of the Board of the Dominican-French Chamber of Commerce and has been member of the Board of Banco ADOPEM since 2012. Luis Rafael has served as vice president for the Dominican-Canadian Chamber of Commerce, president of the Dominican Association of Exporters (1994-1996), member of the Board of Asociación Popular de Ahorros y Préstamos (1995-2003) and president of the Dominican Mining and Oil Chamber. Luis Rafael is a member of the Dominican Bar Association and New York State Bar Association. He is fluent in Spanish and English.
